SUBSIDIARIES AND JOINT VENTURE COMPANIES:
As at 31st March, 2011, the Company has the following Subsidiaries/ Joint Venture:

IG a 100% subsidiary of UTV was incorporated on September 06, 2004 with an intention to carry out Film Acquisition, Syndication and Distribution business in the United Kingdom.

Ignition Entertainment Limited (UK) a 89.58% subsidiary of IG was incorporated on September 26, 2001 and is primarily engaged in the business of development, publishing, licensing and distribution of games content. Ignition Entertainment Limited (UK) has two wholly owned subsidiaries namely Ignition Entertainment Limited (USA) and Ignition London Limited. Ignition Entertainment Limited (USA) was incorporated on May 22, 2006 and is engaged in the business of development, and publishing of gaming software and products and Ignition London Limited was incorporated on July 19, 2001 to carry on the business of developing and publishing of games content.

UTV US a 100% subsidiary of UTV was incorporated on April 26, 2004 with an intent to carry out film acquisition, syndication and distribution business in the United States of America (North America) and surrounding territories.

Indiagames Limited a 58.62% subsidiary of UTV was incorporated on February 1, 2000 and is engaged in the business of developing, distribution and publishing of games and other content for mobiles and other digital platforms.

UTV TV a 100% subsidiary of UTV was incorporated on July 9, 2007 to carry on the business of producing, exhibiting and distribution of television serials/programmes for various television channels.

RB Entertainment Limited ("RBEL") a 60:40 joint venture between UTV TV and Mr. Rajesh Beri was incorporated on May 6, 2008, UTV Tele Talkies Limited ("UTTL") a 51: 49 joint venture between UTV TV and Mr.Prashant Jadhav was incorporated on 3rd July, 2009 and Vikatan UTV Content Limited ("Vikatan") a 51: 49 joint venture between UTV TV and M/s Vikatan Tele Vistas Private Limited was incorporated on 12th May, 2010. Hence, RBEL, UTTL and Vikatan incorporated with intent of producing content for television channels are downstream subsidiaries of UTV.

FFADL a 100% subsidiary of UTV was incorporated on April 07, 2008 as a Private Limited Company. The status of FFADL was changed to Public Limited Company on April 29, 2009. FFADL is engaged in the business of acquirer, buyer and developer of real estate.

UGBL an 84.99% subsidiary of UTV was incorporated on June 06, 2007 with an intention to carry on the business of broadcasting of satellite television channels in India. UGBL is a parent company of two wholly owned subsidiaries Genx Entertainment Limited (Genx) which was incorporated on February 19, 2007 and UTV Entertainment Television Limited (UETL) which was incorporated on April 28, 2007. Genx and UETL are engaged in the business of uplinking and broadcasting entertainment (non-news / current affairs) channels from India. The channels 'UTV Bindass' and 'UTV Action' are housed under Genx and the channels 'UTV Movies'and 'UTV World Movies' are housed under UETL..

UTV Games a 100% subsidiary of UTV was incorporated on September 05, 2008 with an intent to carry on the principal activity of investment holding. True Games Interactive a 95% subsidiary of UTV Games was incorporated on December 28, 2007 to carry on the business of online gaming.

UNML a 100% subsidiary of UTV was incorporated on September 20, 2007 to carry on the business of developing and maintaining websites and acquisition and exploitation of digital rights on mobile and digital platforms.

STL a 50:50 Joint Venture ("JV") between the Company and Mrs. Smriti Irani was incorporated on December 6, 2007 under the name "Smriti Irani Television Limited" to housethe joint venture with Mrs. Smriti Irani for television content production. The name of the Company was changed to Screenshot Television Limited w.e.f 8th July,2010. On 10th May, 2011 UTV acquired 50% stake in SITL from its JV partner, thereby making SITL its wholly owned subsidiary of UTV.
